CoreCivic Prices Offering of Senior Unsecured Notes

NASHVILLE, Tenn., Oct. 11, 2017 (GLOBE NEWSWIRE) -- CoreCivic, Inc. (NYSE:CXW) (“CoreCivic”) announced today the pricing of its offering of $250,000,000 aggregate principal amount of senior unsecured notes due 2027 (the “Notes”). The Notes will have a yield to maturity of 4.75%. The sale of the Notes, which is subject to customary closing conditions, is expected to be completed on October 13, 2017. CoreCivic intends to use substantially all of the net proceeds from the offering to repay a portion of the borrowings outstanding under its revolving credit facility and to pay related fees and expenses, and to the extent not used for the foregoing purposes, for working capital and other general corporate purposes, which may include investments.

BofA Merrill Lynch, J.P. Morgan Securities LLC, SunTrust Robinson Humphrey, Inc., PNC Capital Markets LLC and Regions Securities LLC are acting as joint book running managers for the offering. Citizens Capital Markets, Inc. and FTN Financial Securities Corp. are acting as co-managers for the offering.

The Notes are being offered pursuant to CoreCivic’s existing automatic shelf registration statement on Form S-3 and amendment thereto, each of which became effective upon filing with the Securities and Exchange Commission.
